TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all services provided by DeskWise IT (“we,” “us,” “our”), a registered sole proprietorship (eenmanszaak) in the Netherlands, to our clients (“you,” “your”).

By engaging our services or making a payment to DeskWise IT, you agree to these Terms in full. Please read them carefully before proceeding.


1. About Us

DeskWise IT is an IT services provider specialising in Apple device support, cloud solutions, and IT management for small businesses.

2. Services

DeskWise IT provides the following IT services:

  • Apple Device Setup & Onboarding — Configuration, security setup, app installation, data migration, and user training for Mac, iPhone, and iPad devices.
  • Helpdesk & Troubleshooting — Remote and on-site technical support for macOS, iOS, and iPadOS issues, including software conflicts, network problems, and peripheral troubleshooting.
  • Device Management & Security — Mobile Device Management (MDM) setup and administration, including Apple Business Manager, automated device enrollment, security policies, and remote management.
  • Cloud & Hosting Solutions — Setup and management of Google Workspace, Microsoft 365, Nextcloud, VPS hosting, backup solutions, and GDPR-conscious data storage.
  • Ongoing Support Plans — Monthly IT support packages with priority access, proactive monitoring, and regular check-ins.

The specific scope of work for each engagement will be agreed upon in writing (via email, a written quote, or a service agreement) before work begins.


3. Quotes, Pricing & Payment

  • All prices are quoted in Euros (EUR, €) and are exclusive of VAT (BTW) unless otherwise stated.
  • A written quote or service agreement will be provided before any chargeable work begins.
  • Quotes are valid for 30 days from the date of issue, unless otherwise stated.
  • Payment is due within 14 days of the invoice date, unless a different payment term is agreed in writing.
  • We accept payment by bank transfer and credit/debit card (Visa, Mastercard) via our payment processor, Wise.
  • Late payments may be subject to statutory interest in accordance with Dutch law.

4. Refund, Cancellation & Return Policy

Please refer to our full Refund Policy for details on cancellations, refunds, and dispute resolution.

Summary:

  • Services not yet performed may be cancelled free of charge with at least 48 hours’ notice.
  • Completed work is non-refundable, as IT services cannot be “returned” once delivered.
  • Partially completed work will be invoiced for time and materials used up to the point of cancellation.
  • Ongoing support plans may be cancelled at the end of the current billing period with 14 days’ notice.

By making a payment or approving a quote, you acknowledge that you have read and accepted our Refund Policy.


5. Delivery of Services

DeskWise IT provides IT services, not physical goods. Here is how and when our services are delivered.

Remote Services

Most of our services are delivered remotely. Remote support is provided via screen sharing (using tools such as Zoom, TeamViewer, or Apple Remote Desktop), email, phone, WhatsApp, and secure file transfer.

  • Response time: For clients on a support plan, we respond within the timeframe specified in your plan (typically 1–4 business hours). For ad-hoc requests, we respond within 1 business day.
  • Service hours: Monday to Friday, 9:00–18:00 CET/CEST. Emergency support outside these hours may be available for clients on eligible support plans.

On-Site Services

On-site support is available by appointment for clients located in the Utrecht area and across the Randstad (including Amsterdam, The Hague, and Rotterdam).

  • On-site visits are scheduled in advance and confirmed by email or WhatsApp.
  • Travel to locations outside the Randstad may incur an additional travel fee, which will be communicated in advance.

Project-Based Work

For larger projects (such as device management setup, cloud migration, or infrastructure deployment), a timeline and milestones will be agreed upon in writing before work begins. We will provide regular progress updates and notify you promptly of any delays.

Delivery Confirmation

Upon completion of a service, we will confirm delivery by email. If the work includes documentation, configuration files, or other deliverables, these will be provided via email or a secure shared folder.


6. Client Responsibilities

To allow us to deliver services effectively, you agree to:

  • Provide timely access to devices, accounts, and systems relevant to the work.
  • Ensure you have appropriate backups of your data before we begin work. While we take every reasonable precaution, DeskWise IT is not liable for data loss.
  • Respond to requests for information or approvals within a reasonable timeframe.
  • Provide accurate and complete information about your technical environment.

7. Limitation of Liability

  • DeskWise IT will perform all services with reasonable skill and care.
  • Our total liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim.
  • We are not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, data loss, or business interruption.
  • We are not liable for issues caused by third-party hardware, software, or services outside our control.

8. Service Availability & Export Restrictions

  • DeskWise IT provides services to clients located in the Netherlands and the European Economic Area (EEA).
  • Remote support may be provided to clients outside the EEA on a case-by-case basis.
  • Our services are subject to applicable EU and Dutch export control regulations. We do not knowingly provide services in connection with activities that violate applicable sanctions or export restrictions.
  • No physical goods are exported as part of our services.

9. Intellectual Property

  • Any custom scripts, configurations, documentation, or other materials we create specifically for you remain our property unless explicitly specified.
  • General tools, templates, and methodologies we use in our work remain the property of DeskWise IT.
  • We may use your company name and a brief description of work performed as a portfolio reference, unless you request otherwise in writing.

10. Privacy & Data Protection

We take your privacy seriously. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal data in compliance with the General Data Protection Regulation (GDPR).


11. Amendments

We may update these Terms from time to time. The most current version will always be available on our website. Significant changes will be communicated to active clients by email. Continued use of our services after changes are published constitutes acceptance of the updated Terms.


12. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms or our services shall first be attempted to be resolved amicably. If no resolution can be reached, disputes shall be submitted to the competent court in Utrecht, Netherlands.
